1. Services Provided

1.1

Mikterry Agencies provides a cloud-based and/or on-premise point-of-sale system ("Teenfaculty POS") for retail, hospitality, and service-based businesses.

1.2

The Service includes software, support, updates, maintenance, and associated features as described on our official website or agreed in a subscription plan.

1.3

We may offer additional modules or services ("Add-ons"), which are subject to these Terms unless otherwise specified.

2. User Account

2.1

To use the Service, you must register for an account and provide accurate, complete, and current information.

2.2

You are responsible for maintaining the confidentiality of your account credentials and are fully responsible for all activities that occur under your account.

2.3

You must notify us immediately if you suspect unauthorized access to your account.

3. Payment and Fees

3.1

Use of Teenfaculty POS may require subscription fees or one-time payments as described in your invoice or subscription agreement.

3.2

All payments are due in accordance with the billing schedule. Failure to pay may result in suspension or termination of your account.

3.3

Fees are exclusive of taxes, levies, or duties imposed by taxing authorities, which you are responsible for paying.

4. License

4.1

Subject to your compliance with these Terms, Mikterry Agencies grants you a non-exclusive, non-transferable, revocable license to use Teenfaculty POS solely for your internal business purposes.

4.2

You may not:

• Reverse engineer, decompile, or disassemble the software.
• Rent, lease, sublicense, or distribute the Service.
• Remove, alter, or obscure any proprietary notices.

5. Customer Data

5.1

You retain all ownership rights to the data you input into Teenfaculty POS ("Customer Data").

5.2

You grant Mikterry Agencies a limited license to use Customer Data solely to provide, maintain, and improve the Service.

5.3

You are responsible for complying with all applicable data protection and privacy laws, including obtaining consent where necessary.

6. Service Availability and Maintenance

6.1

We aim to provide continuous access to Teenfaculty POS but do not guarantee uninterrupted or error-free operation.

6.2

Scheduled maintenance will be communicated in advance. Emergency maintenance may occur without prior notice.

6.3

Mikterry Agencies is not liable for any losses resulting from service downtime or data unavailability.

7. Support

7.1

Basic support is included according to the subscription plan.

7.2

Support may include assistance via email or chat. Response times are not guaranteed unless specified in a service-level agreement (SLA).

7.3

Additional support services may be provided at extra cost.

8. User Conduct

You agree not to:

• Use the Service for unlawful purposes.
• Attempt to compromise the security or integrity of the Service.
• Interfere with other users' access.
• Transmit viruses, malware, or malicious code.

9. Warranties and Disclaimers

9.1

The Service is provided "as is" and "as available." Mikterry Agencies disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9.2

We do not guarantee that Teenfaculty POS will meet your requirements or operate without errors.

9.3

You acknowledge that data backups are your responsibility unless we offer a backup service under your plan.

10. Limitation of Liability

10.1

To the maximum extent permitted by law, Mikterry Agencies shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data.

10.2

Our total liability arising out of or relating to the Service shall not exceed the fees paid by you in the six months preceding the claim.

11. Termination

11.1

Either party may terminate the Service with written notice.

11.2

We may suspend or terminate your access immediately if you breach these Terms or engage in prohibited conduct.

11.3

Termination does not relieve you of outstanding payment obligations or liability for breaches prior to termination.

12. Intellectual Property

12.1

All intellectual property rights in Teenfaculty POS, including software, design, documentation, and trademarks, remain the sole property of Mikterry Agencies.

12.2

Nothing in these Terms grants you any rights to our trademarks or branding, except as expressly permitted for normal use of the Service.

13. Privacy

13.1

Use of Teenfaculty POS is governed by our Privacy Policy, which outlines how we collect, store, and use your personal and business data.

13.2

By using the Service, you consent to the practices described in the Privacy Policy.

14. Governing Law and Dispute Resolution

14.1

These Terms are governed by the laws of the Republic of Kenya.

14.2

Any dispute arising from or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If unresolved, disputes will be submitted to the courts of competent jurisdiction in Nairobi, Kenya.

15. Amendments

15.1

Mikterry Agencies may modify these Terms at any time. Updated Terms will be published on our website and/or communicated to you.

15.2

Continued use of Teenfaculty POS after changes constitutes your acceptance of the revised Terms.
